RGB Capital Holdings is a Wyoming-based private acquisition firm founded by Daniel Rasmussen and Seth Gwinn. We formed this company with a single purpose: to acquire exceptional, already-successful businesses from founders who have earned the right to step back.
We are not a private equity fund flipping assets on a 3-year cycle. We are principals who will be personally involved in every deal, every valuation, and every transition. When you shake hands with us, you are dealing directly with the decision-makers — not intermediaries.

Do you have the funding to actually close?
Yes. We combine SBA 7(a) loan financing with private capital. Before we make any offer, our financing structure is confirmed. We don't waste sellers' time with letters of intent we can't back up. We can provide a proof of financing overview on request under NDA.
Will my employees keep their jobs?
That is one of our core priorities. We acquire businesses to operate them, not strip them. Your team is the reason the business works — we have every incentive to retain, support, and invest in them. Staff continuity is a condition we take seriously in every deal.
Do you have experience in my specific industry?
We acquire across industries. Where we don't have direct domain expertise, we onboard an industry-specific operator or expert who can step into the role the seller vacates. This is a common and proven approach in business acquisition — the seller often trains the incoming operator before fully transitioning out.
How do you value a business?
We value businesses based on a multiple of free cash flow — not inflated EBITDA figures. We ask for 3–6 years of financials and a schedule of assets and liabilities. Our starting offers reflect real, conservative multiples that we can defend with math. We don't play games with numbers.
How long does the process take?
From first conversation to close typically takes 60–90 days once a Letter of Intent is signed. We move efficiently. Delays usually come from incomplete financials or third-party lender timelines — we'll communicate clearly at every step so there are no surprises.
What if I'm working with a broker?
We work with brokers regularly and respect the role they play. If you have a broker representing you, we'll work through them. We also accept direct inquiries from business owners — if you'd like to have a preliminary conversation before involving a broker, we're happy to do that confidentially.
